Lisa Arias-Moening

Ms. Arias-Moening has over 19 years of experience in providing a wide range of valuation and financial
advisory services to closely held and publicly traded companies, in a variety of industries.

At Arias Moening & Co., Ms. Arias-Moening provides valuations of businesses and business interests
and related financial advisory services to private and publicly-traded companies in connection with
strategic planning, estate and gift tax planning and compliance, Employee Stock Ownership Plans
(ESOPs), mergers and acquisitions, and ownership transition issues.  

Along with the valuation of businesses and business interests, Ms. Arias-Moening provides fair value
determinations of intangible assets for tax and financial reporting purposes (SEC compliance), including
purchase price allocations (SFAS 141R) and goodwill and asset impairment (SFAS 142 and 144), as well
as the valuation of incentive compensation and options (SFAS 123R and IRC 409A).  Intangible assets
valued include customer relationships, lists and contracts, trademarks and trade names, patented and
unpatented technology and software, licensing agreements, copyrighted works, and non-compete
agreements.  

Ms. Arias-Moening also provides appraisal and appraisal review services to various regional valuation
and accounting firms.  

Prior to co-founding Arias Moening & Co. in 2006, Ms. Arias-Moening was a Managing Director at  Duff &
Phelps, LLC in Los Angeles, California, where she spent over 8 years providing valuation services to
private and publicly traded companies in a wide range of industries.  From 2003-2005 she led the firm’s
West Coast effort for solvency opinion engagements.  While at Duff & Phelps, Ms. Arias-Moening also
provided strategic advisory services on selected merger and acquisition transactions, and private
financings for equity and debt.  

Prior to joining Duff & Phelps in 1997, Ms. Arias-Moening worked as an Associate and Analyst for a
private equity group in Los Angeles, California, completing several leveraged buyout transactions,
business division divestitures and recapitalizations, and raising debt and equity capital.

Ms. Arias-Moening has extensive experience in the valuation of businesses, specialized securities and
intangible assets in a wide range of industries.  In addition to companies based in the United States, Ms.
Arias-Moening has experience in valuing international companies including businesses based in Asia,
Latin America and Europe.

Ms. Arias-Moening received her Masters Degree in Business Administration, with a concentration in
Finance, from the University of California at Los Angeles.  Ms. Arias-Moening received her Bachelor of
Science in Finance, Real Estate and Law, from the California State Polytechnic University in Pomona, CA.

Ms. Arias-Moening is licensed as an  NASD General Securities Registered Representative (Series 7) and
an  NASD Uniform Securities Agent (Series 63).  She has served as a panelist for forums regarding the
valuation of intangible assets and intellectual property for the Marshall School of Business at the
University of Southern California, and has spoken on valuation topics for the Los Angeles Venture
Association (LAVA) and in a series of seminars for top-tier law firms.

Ms. Arias-Moening authored the article entitled “Insurance Policy – Solvency Opinions in Leveraged
Transactions” published in The Deal, November 2004.
